By accessing or using any website or service operated by The Conscient Group LLC ("Company," "we," "us," or "our"), including dolphintracker.com, dolphinalpha.com, and dolphinpod.io (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

We reserve the right to update these Terms at any time. Continued use of the Services after changes constitutes acceptance of the revised Terms.

2. Description of Services

Dolphin Tracker and related products are informational platforms that analyze publicly available data — including SEC filings, earnings call transcripts, and other public records — to surface divergence signals between public statements and disclosed capital actions by institutional investors.

Our Services are currently in pre-launch. Access is limited to users on our waitlist who have expressed interest in early access. Features, pricing, and availability are subject to change without notice.

3. No Investment Advice

The information provided through our Services, including any "Dolphin Signal," "Pod Score," "say-vs-do analysis," convergence reports, or any other content or data, is for informational and educational purposes only. It does not constitute:

• Investment advice or recommendations
• Financial planning or wealth management advice
• Trading signals or solicitations to buy or sell any security
• Legal, tax, or accounting advice

Past divergence signals or convergence events described in our Services do not guarantee future results. All investments involve risk. You are solely responsible for your own investment decisions. Always consult a registered investment advisor, broker-dealer, or other qualified financial professional before making investment decisions.

4. Use of Public Information

Our analysis is based exclusively on publicly available information, including but not limited to:

• SEC filings (Form 13F, 13D, 13G, Form 4, etc.) obtained from EDGAR
• Publicly available earnings call transcripts and press releases
• Federal Reserve (FRED) publicly released data
• Other publicly available market data and news sources

We do not use material non-public information (MNPI). Any references to specific allocators or institutions in our Services are based solely on their publicly available disclosures.

5. Illustrative Examples

Any examples, demonstrations, or sample signals displayed on our websites — including named individuals, firms, dollar amounts, and dates — may be illustrative examples created for demonstration purposes. Illustrative examples:

• Do not represent verified real-time data unless explicitly labeled as such
• Are provided to demonstrate the format and methodology of our analysis
• Should not be relied upon for any investment decision

Where real public figures or entities are referenced by name in examples, such references are based on their publicly available filings and statements and are not endorsements of, or by, those individuals or entities.

6. User Conduct

By using our Services, you agree not to:

You may not use our trademarks, trade names, or branding without prior written consent.

8. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE CONSCIENT GROUP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

Our total liability to you for any claim arising from these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless The Conscient Group LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Services or violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

11. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, at our sole discretion. Upon termination, your right to use the Services ceases immediately.
